Terms and Conditions

Terms of Service


1. Service Overview

The Service enables sellers to:

  • Manage and fulfill orders

  • Automate shipment tracking, RTO/NDR workflows, and delivery coordination

  • Reconcile freight and Cash-on-Delivery (COD)

  • Generate analytics for logistics performance

Zippyy accesses and processes marketplace and seller data solely to provide authorized logistics, shipment, and operational services.


2. Delivery Management Service

This Agreement provides Customers with access to an internet-based delivery management software platform, APIs, dashboards, and mobile applications (collectively, the “Service”) as specified in an Order or online subscription.


3. Use of Service

a. Trial

If the Customer is using the Service under a trial, the Service is provided “AS IS.”
Data may be deleted at the end of the trial unless the Customer converts to a paid account.

b. Customer-Owned Data

All data uploaded, transmitted, or generated by the Customer remains the property of the Customer (“Customer Data”).

The Customer grants Zippyy a limited, non-exclusive right to process Customer Data solely to provide the Service.

Customers may export Customer Data as permitted by Service functionality.

c. Contractor and Employee Access

Customers may permit employees and contractors (including third-party logistics providers) to access the Service solely for the Customer’s benefit. Customers remain responsible for their compliance.

d. Customer Responsibilities

The Customer:

  1. Must keep credentials secure

  2. Is responsible for all activity in its account

  3. Must notify Zippyy of unauthorized access

  4. Must use the Service in compliance with applicable law and documentation

e. Privacy

Customer agrees to Zippyy’s Privacy Policy, which is incorporated by reference and may be updated periodically.

f. API Usage

Zippyy may limit or suspend API access for excessive, abusive, or non-compliant usage. APIs are provided “AS IS.” Zippyy may modify APIs with reasonable notice.


4. Beta Releases

Beta features are provided “AS IS” and “AS AVAILABLE” with no warranties. Use is entirely at the Customer’s risk. Zippyy may discontinue Beta features at any time.


5. Service Level & Warranty

a. Limited Warranty

Zippyy will use commercially reasonable efforts to maintain Service availability. Features may evolve but will not materially degrade during a paid term.

b. Exclusive Remedy

Service credits (or refunds if not renewed) are the Customer’s sole remedy for SLA failures.

c. Disclaimer

EXCEPT AS EXPRESSLY STATED, ZIPPYY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


6. Payment Terms

Customers must pay invoices within agreed timelines. Late payments may incur interest, suspension, and recovery actions as detailed in Section 15.


7. Confidentiality & Data Security

Zippyy and the Customer agree to mutual confidentiality obligations.

Zippyy implements:

  • Encryption in transit and at rest

  • Role-based access controls

  • Monitoring and breach response procedures

Data Breach Notification

Zippyy will notify the Customer within two (2) business days of confirmed unauthorized access and cooperate fully in remediation.


8. Amazon & Marketplace Data Compliance

a. Marketplace Data

Where authorized by the Customer, Zippyy may access marketplace data (including Amazon SP-API data) strictly to provide logistics and fulfillment services.

b. Restrictions

Zippyy:

  • Does not sell, rent, or monetize marketplace data

  • Does not use data for advertising or profiling

  • Retains data only for permitted durations

c. Roles

  • The Customer is the data controller

  • Zippyy acts solely as a data processor


9. Zippyy Intellectual Property

All software, workflows, UI, and technology remain the exclusive property of Zippyy.

The Customer may not:

  • Reverse engineer

  • Resell or sublicense

  • Build competing products

  • Abuse or disrupt the Service


10. Restricted Data Access (RDA)

Zippyy enforces:

  • Least-privilege access

  • Multi-factor authentication (MFA) for privileged users

  • Encryption standards (TLS 1.2+, AES-256)

  • Audit logging

Restricted data is accessed only when required and retained only as permitted.


11. Prohibition of Counterfeit Products

Customers must not ship counterfeit goods.

Violation may result in:

  • Immediate suspension or termination

  • Reporting to authorities

  • Withholding of settlements

Customer indemnifies Zippyy against all claims related to counterfeit activity.


12. Term & Termination

This Agreement continues until terminated.

Zippyy may suspend or terminate for:

  • Non-payment

  • Legal violations

  • Policy breaches

Customer Data may be exported within 60 days post-termination.


13. Liability Limitation

ZIPPYY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE PRIOR TWELVE (12) MONTHS.


14. Payment Default & Recovery

Includes:

  • Seven (7) day grace period

  • Suspension of services

  • 18% interest (or legal maximum)

  • Set-off against COD or credits

  • Legal recovery and blacklisting

Zippyy bears no liability for losses due to suspension for non-payment.


15. Dispute Resolution & Arbitration

Disputes shall be resolved by arbitration under Indian law.

  • Seat: Bangalore, India

  • Language: English

  • Courts in Bangalore retain jurisdiction where applicable


16. General Terms

  • Entire Agreement

  • No assignment without consent (except merger or acquisition)

  • Independent contractors

  • Survival of key clauses

  • Feedback may be freely used by Zippyy
